New Mexico Mycological Society Bylaws
Article I - Name and Status
  • The name of the organization is the New Mexico Mycological Society (aka NMMS).
  • The New Mexico Mycological Society is a non-profit organization.

    Article II - Purposes
  • The purpose of NMMS is to advance the understanding and stimulate the interest of the members in the field of mycology by:
    1. Providing opportunities for study, holding conferences, facilitating cooperative research, arranging forays, and exchanging information among members.
    2. Interchanging specimens and information with other interested parties and organizations.
    3. Supporting efforts to preserve open spaces in the state of New Mexico where it is in the best interest of NMMS to do so.

    Article III - Membership
  • Membership is open to any person interested in Mycology.
  • Memberships are divided into the following categories:
    1. Regular Member is one who is entitled to all the privileges of NMMS.
    2. A Student Member is an individual who is a full-time student.
    3. An Honorary Member is one who, for special reason, is granted membership which confers all the privileges of NMMS, but entails none of the obligations.
    4. A Family/Household Membership consists of a Regular Membership and, if requested, membership of one additional adult and any children under eighteen(18) years of age who participate in activities of NMMS.
  • Every member over eighteen(18) years of age has one vote.
  • Article IV - Dues
  • The Board of Directors shall determine the amount of dues for each fiscal year which begins on January 1 and ends on December 31. Any change in dues shall be discussed with and voted upon by the membership.
    1. Membership dues are not refundable.
    2. A Family/Household Membership shall be assessed a single fee.

    Article V - Officers and Elections
  • The officers of NMMS shall be recommended by a duly appointed nominating committee and elected by a majority of the membership at the annual meeting.
  • The term of office shall be one(1) year. The President may immediately succeed himself or herself only once.
  • The officers of the society are:
    • President
    • Vice-President
    • Secretary
    • Treasurer
  • The officers and one other NMMS member, appointed by the president and approved by the officers, shall constitute the Board of Directors.
  • The two(2) past presidents shall be ex officio members of the Board.
  • If an elected position is unfilled, the Board of Directors shall ensure that the responsibilities of the position are met.
  • If an elected position is unfilled, or if a member serves in more than one officer position, the current Board may appoint a member or members to fill the vacancies on the Board.
  • Article VI - Board of Directors
  • The Board of Directors shall meet at least four(4) times a year at the call of the president.
  • It shall be the duty of the Board of Directors to develop and approve the administrative and functional policies of NMMS.
  • A quorum at meetings of the Board of Directors shall be three(3).

    Article VII - Meetings
  • The Board of Directors shall set the date and designate the place of all regular, special, and annual meetings.

  • Article VIII - Committees
  • The President shall appoint all committee chairpersons and special committees with the approval of the Board of Directors.

  • Article IX - Fiscal and Administrative Policies
  • No part of the net worth of NMMS shall at any time inure to any member or individual.
  • In the event of the dissolution of NMMS, all funds and property remaining to its credit of account shall be given to the New Mexico Natural History Museum. This distribution shall be accomplished at the direction of the Board of Directors within six(6) months of dissolution.

  • Article X - Amendments and Revisions
  • The bylaws may be amended, altered, or repealed at any meeting of NMMS by a two-thirds vote of approval by the members present.
  • The membership must be notified at least one(1) meeting in advance of a proposed change. The notification must also contain the opinion of the Board of Directors concerning the endorsement or disapproval of the proposed change.
